ASISMS Terms and Conditions

Effective Date: 11 June 2026

These Terms and Conditions ("Agreement") govern the use of the Academic and School Information Management System (ASISMS), a cloud-based Software-as-a-Service platform for educational institutions. By creating an account, accessing, or using ASISMS, the subscribing institution agrees to be legally bound by this Agreement.

1. Definitions

"Service" means the ASISMS platform and all related applications, databases, and hosted infrastructure. "Subscriber" means the school or educational institution registering for the Service. "Provider" means the owner and operator of ASISMS.

2. Grant of Access

Subject to compliance with this Agreement and payment of applicable fees, the Provider grants the Subscriber a limited, non-exclusive, non-transferable right to access and use the Service.

3. Data Ownership

The Subscriber retains full ownership of all institutional, academic, financial, staff, parent, and student data entered into the Service.

4. Confidentiality and Security

The Provider will implement commercially reasonable technical and organizational safeguards to protect data against unauthorized access, alteration, disclosure, or destruction.

5. Acceptable Use

The Subscriber shall not use the Service for unlawful activities, unauthorized data processing, malicious attacks, or any conduct that may compromise system integrity.

6. Subscription Fees and Billing

Use of ASISMS is subject to subscription fees and related charges. Fees are due as agreed and are non-refundable except where expressly required by law.

7. Suspension and Termination

The Provider may suspend or terminate access for non-payment, abuse, security risks, breach of these Terms, or other legitimate operational reasons.

8. Service Availability

While the Provider aims to maintain high availability, uninterrupted access is not guaranteed. Scheduled maintenance, infrastructure failures, and force majeure events may affect availability.

9. Intellectual Property

All software, source code, documentation, and trademarks associated with ASISMS remain the exclusive property of the Provider.

10. Limitation of Liability

To the maximum extent permitted by law, the Provider shall not be liable for indirect, incidental, special, or consequential damages, including data loss, loss of profits, or operational disruption.

11. Indemnification

The Subscriber agrees to indemnify and hold harmless the Provider against claims arising from misuse of the Service or violation of applicable laws.

12. Privacy and Data Protection

The Provider will process personal data in accordance with applicable data protection laws and industry best practices.

13. Modifications to Terms

The Provider may revise these Terms from time to time. Continued use of the Service constitutes acceptance of the revised Terms.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Ghana.

15. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or representations.
